Terms and Conditions for Invoice Discounting

By submitting this application, you agree to the following terms and conditions:

1. Accuracy of Information

  • You confirm that all information provided in this application is true, complete, and accurate to the best of your knowledge.
  • You agree to promptly notify Tesh Capital Services Limited (“the Company”) of any changes to the information provided.

2. Eligibility

  • You acknowledge that approval of invoice discounting is subject to the Company’s internal credit assessment and compliance checks.
  • The Company reserves the right to decline any application without obligation to provide reasons.

3. Verification and Due Diligence

  • You authorize the Company to verify the information provided, including contacting your customers, reviewing invoices, and conducting credit checks.
  • You consent to the Company accessing and processing your data for purposes of risk assessment and compliance with applicable laws.

4. Invoice Ownership and Assignment

  • You confirm that the invoice submitted is valid, undisputed, and represents goods or services already delivered.
  • Upon approval, you agree to assign the rights to the invoice proceeds to the Company until full repayment of the discounted amount.

5. Fees and Charges

  • You acknowledge that invoice discounting services attract fees and/or interest, which will be disclosed in the offer letter prior to acceptance.
  • Any applicable taxes or statutory charges will be borne by you.

6. Repayment Obligations

  • You agree to repay the discounted amount and any applicable fees in accordance with the agreed terms.
  • Failure to repay may result in legal action and reporting to credit reference bureaus.

7. Confidentiality

  • The Company will maintain confidentiality of your information except as required by law or for purposes of executing this agreement.

8. Limitation of Liability

  • The Company shall not be liable for any indirect, incidental, or consequential losses arising from the use of invoice discounting services.

9. Governing Law

  • These terms and conditions shall be governed by and construed in accordance with the laws of Zambia.

10. Consent

  • By checking the consent box and submitting this application, you agree to these terms and conditions and authorize the Company to proceed with the assessment of your application.
